INDEPENDENT CONTRACTOR AGREEMENT

1. Scope of Work

The Contractor will:

- Whether The Contractor can create a custom webpage or must use [HOSTING PLATFORM] templates.
- Whether The Contractor can configure SEO and AI/search-related settings.
- Research [TICKETING PLATFORM] capabilities, including:
- Whether the [TICKETING PLATFORM SHORT NAME] ticketing page can be embedded or integrated so that ticket sales occur within the [CLIENT WEBSITE NAME] website and, where possible, use the same domain or subdomain.
- Ticketing/Search Issue & Google Support
- Investigate the current issue where ticketing or event pages are not displaying correctly or consistently in Google search results.
- Work with Google customer support/help channels and relevant tools (such as Search Console, URL Inspection, or related forms) to identify the cause and recommended remedies for the current ticketing/search issue.
- Evaluate whether embedding or integrating [TICKETING PLATFORM SHORT NAME] directly into the [CLIENT WEBSITE NAME] website is the most direct and sustainable fix to improve ticket visibility and user experience, and report recommendations to The Client.
- Determine requirements and approach
- Document requirements, constraints, and best technical approach for the new site, ticketing integration, and Google/search visibility improvements.
- Initial build (if feasible)
- If [HOSTING PLATFORM] supports the needed programming/customization, begin building the new [CLIENT WEBSITE NAME] website environment, ensuring the look and navigation matches the [ASSOCIATED BRAND NAME] brand and existing tabs as closely as reasonably possible.
Week 2 “ Build, Implementation & Configuration ([WEEK 2 START DATE]“[WEEK 2 END DATE])
If Week 1 confirms that the required functionality is feasible and provides a recommended solution, The Contractor will continue building and configuring the site, including:
- Site Architecture & Pages
- Home: [HOME PAGE FOCUS].
- About: New About page for [CLIENT WEBSITE NAME] with updated story, mission, and community focus.
- Work With Us.
- Auditions & Volunteer Opportunities.
- Leave a Review (linked to Google reviews).
- Donate.
- Blog: New blog page - blog posts are perfect for adding structured data which is what ai search looks for and recommends to users.
- FAQ: New FAQ page attached to the website chatbot.
- Ticketing Integration & Confirmed Fix
- Implement the agreed ticketing solution based on Week 1 findings, with a strong preference for embedding or integrating [TICKETING PLATFORM SHORT NAME] ticketing into the [CLIENT WEBSITE NAME] website if it is confirmed to be the most direct and effective fix within the constraints of [HOSTING PLATFORM] and [TICKETING PLATFORM SHORT NAME].
- Configure links, navigation, and calls to action so that patrons can browse shows and purchase tickets in as few steps as possible, minimizing redirects and confusion.
- SEO, Accessibility, and Engagement
- Set up or optimize Google Business Profile and connect it to the website and event information where possible.
- Configure basic SEO, including titles, meta descriptions, headings, internal links, and search-friendly URL structure, subject to [HOSTING PLATFORM] platform limits.
- Improve AI readability and on-page structure for clarity and search visibility.
- Add chatbot scripts provided or approved by The Client (if any).
- Add clear ADA-friendly content and headings as reasonably achievable within the project scope, recognizing this is not a full legal accessibility audit.
Both parties may agree in writing (including email) to extend the project beyond [END DATE], with similar terms, or to add additional phases at new rates or under a new agreement.
2. Compensation and Payment Terms
- Rate: [WEEKLY RATE] per week.

3. Relationship of the Parties
The Contractor is an independent contractor, not an employee, partner, or agent of The Client. The Contractor is responsible for all taxes, insurance, licenses, and business expenses. The Client will not provide employee benefits, and The Contractor is not eligible for workers™ compensation or unemployment benefits through The Client.
4. The Client Responsibilities
The Client will:
- Provide timely access to existing [HOSTING PLATFORM] accounts, DNS, Google tools and profiles, and website administration credentials necessary for the work.
- Provide access to [TICKETING PLATFORM SHORT NAME] admin, branding assets, content, and copy needed for the new pages.
- Provide feedback and approvals in a timely manner so the project can stay on schedule.
5. Revisions and Feedback
The Contractor agrees to unlimited reasonable revisions during the project term, as long as requested changes:
- Stay within the defined scope above, and
- Occur within the active agreement period.
Major new features or a substantially expanded scope (such as new systems, full redesigns beyond the described structure, or post-launch maintenance) may require a new written agreement and additional fees.
6. Hosting and Third-Party Services
- The Client will maintain all hosting and domain services with [HOSTING PLATFORM] and all ticketing services with [TICKETING PLATFORM].
- The Contractor is not responsible for ongoing hosting, server management, [TICKETING PLATFORM SHORT NAME] system maintenance, or third-party outages.
- The Contractor™s responsibility is limited to configuration and integration work, and reasonable coordination with support channels, within the capabilities and constraints of [HOSTING PLATFORM], [TICKETING PLATFORM SHORT NAME], and Google tools as they exist during the project.
7. Intellectual Property and Ownership
Upon full payment of all amounts due under this Agreement:
- All website designs, code customizations, page layouts, and written content created specifically for [CLIENT WEBSITE NAME] under this Agreement will be owned by [CLIENT LEGAL NAME / DBA NAME], except for:
- Any pre-existing tools, libraries, templates, or third-party components used by The Contractor or required by [HOSTING PLATFORM], [TICKETING PLATFORM SHORT NAME], or Google tools, which remain the property of their respective owners.
- The Contractor grants The Client a perpetual, worldwide, non-exclusive license to use any such underlying tools or components solely as integrated into the website.
The Contractor may reference the completed work in a professional portfolio or case study unless The Client expressly requests confidentiality in writing.
8. Term and Termination
- This Agreement begins on [START DATE] and ends on [END DATE], unless extended by mutual written agreement.
- The The Client may terminate at any time by written notice (including email) to the The Contractor. The The Contractor will be paid for all work performed up to the time of notice, calculated by the weekly rate and reasonable breakdown of hours.
- The The Contractor may also terminate with reasonable written notice, and will cooperate in handing off credentials and in-progress materials.
9. Confidentiality
The Contractor agrees to keep The Client™s non-public information, credentials, and business data confidential and to use such information solely to perform the services under this Agreement.
10. Warranties and Limitations
The Contractor will perform services in a professional and workmanlike manner consistent with industry standards for small nonprofit web projects. However:
- The The Contractor does not guarantee specific SEO rankings, ticket sales, or traffic levels.
- The The Contractor is not responsible for changes made by [HOSTING PLATFORM], [TICKETING PLATFORM SHORT NAME], Google, or search engines that affect functionality or rankings after delivery.
Any issues arising directly from The Contractor™s work that are reported within [WARRANTY PERIOD] of launch will be addressed at no additional charge, as long as they fall within the original scope.
11. Dispute Resolution and Governing Law
The parties will first attempt in good faith to resolve any dispute through discussion and informal negotiation. If unresolved, disputes may be submitted to mediation or small claims/civil court as appropriate.
This Agreement is governed by the laws of the [STATE OF GOVERNING LAW], without regard to conflict of law principles.
12. Entire Agreement and Amendments
This Agreement represents the entire understanding between the parties regarding this project and supersedes all prior discussions or proposals. Any amendments must be in writing and signed (physically or electronically) by both parties.

This Project Summary will be delivered via email or other agreed written format and is included in the project scope and compensation.
2. Compensation and Payment Terms
